Called to the Ontario bar in 2005, Anna C. Naud is an experienced corporate/commercial lawyer. After articling and gaining expertise for eight years at a large national firm on Bay Street in Toronto, Anna decided to move her practice closer to home and joined Mason Bennett Johncox in September 2013.
Anna is a practical, approachable, committed, and responsive lawyer.
Anna advises business clients of all sizes and industries, including franchisors and franchisees. Whether incorporating and organizing your company, drafting a commercial contract, negotiating a share or asset sale, structuring a reorganization, assisting with a financing, or keeping you on side of your meeting and record keeping obligations, Anna will be a valuable member of your business team.
In addition to working with for-profit corporations, Anna has substantial experience working with Federal and Ontario not-for-profit corporations, registered Canadian charities, and boards of trade and chambers of commerce. Her personal experiences as a director, Board secretary, and member of the Governance Committees of YWCA Durham and Habitat for Humanity Durham help her understand and appreciate the unique and exciting challenges faced by this industry. In addition, as a member of the Executive of the Charity/Not-for-Profit Law Section of the Ontario Bar Association, Anna is always on top of the latest legal developments affecting this sector.
Anna is often asked to assist on governance matters, including governance restructurings, by-law amendments, the creation of policies and codes, training directors and officers on their roles and responsibilities, and assisting boards of directors with their transition to becoming governance boards. She is the co-author with Catherine Raso of CMR Governance Consulting of “The Board Administration Handbook: For Boards of Ontario Not-for-Profit Corporations (2014).”
Anna is a frequent guest speaker on legal topics such as: starting and running a business, compliance and good governance practices for Boards of Directors, employment contracts, fraud risk assessments from a Board perspective, and the roles and responsibilities of directors, officers, and Boards of Directors. Anna has been an invited speaker on legal and governance issues for institutions such as Durham College, Seneca College, the International Policy Governance Association, and the Community Innovation Lab, and is an Instructor in the Not-for-Profit Management Certificate Program offered by the Management Development Centre at the University of Ontario Institute of Technology.
Anna lives in Whitby with her husband, their two young daughters, their cats, and their British bulldog Winston. Anna is actively involved in her community and is honoured and excited to be a part of the growth and success of Durham Region.
